Who we are

ai.NEST is a product of SMB Studio (“SMB Studio”, “we”, “us”). These terms govern your purchase and use of an ai.NEST subscription. You can reach us at info@ainest.dev.

Our reseller

Orders are sold and fulfilled by Paddle.com Market Limited (or the Paddle entity for your region) acting as an authorised reseller and merchant of record. Paddle handles payment, invoicing and applicable sales tax or VAT, and Paddle's own buyer terms apply to the payment transaction in addition to these terms.

What you are buying

A subscription to a configured ai.NEST action that runs on our infrastructure: it reads the data sources you connect, proposes the action you asked for, waits for approval from a person you nominate, and records everything in an audit log. The one-time activation fee covers configuring that action for your case and putting it into production. Nothing in this agreement is a transfer of software or source code to you.

Plans, prices and orders

Current prices are published at ainest.dev/pricing in US dollars. There is no self-serve checkout: an order starts with a call, is scoped in writing, and is confirmed by a services agreement between you and SMB Studio. Where that signed agreement and these terms differ, the signed agreement governs. Each plan's quotas — requests per month, number of actions, knowledge sources and audit retention — are stated on the pricing page and enforced by the product.

Payment

The activation fee is a one-time charge: 50% is due at signature and the balance at go-live. The monthly fee starts at go-live and renews every month until cancelled. Invoices are issued by Paddle. If a payment fails we may suspend the service after notifying you; suspension does not cancel your subscription or the fees already due.

What the subscription includes

Running and monitoring your action on our infrastructure; the approval step before any action executes; the full audit log with export; incident response on the next business day; and a change budget of 2–4 hours per month for new questions, new sources and tuned policies. Work beyond that budget, and anything outside the product, is quoted separately. We do not publish an uptime guarantee; any availability commitment is agreed in your services agreement.

Your responsibilities

You confirm that you are entitled to connect the systems and data you connect, and that you will keep credentials secure and revoke them when your people change. You are responsible for the decisions your approvers take — the approval step is yours, not ours. You agree not to use ai.NEST unlawfully, not to attempt to reach another customer's data or bypass isolation, and not to resell or sublicense access unless your plan expressly allows it.

Intellectual property

We keep all rights in the ai.NEST platform, the engine and everything we build to run it. You get a non-exclusive, non-transferable right to use your configured instance for the term of your subscription. You keep all rights in your own data, content and configuration. Nothing in this agreement assigns any part of the engine to you.

Data protection

How we handle personal data is described in our Privacy Policy. Where we process personal data on your behalf we act as processor and you as controller; a data processing agreement naming our subprocessors — Hetzner (EU infrastructure), our LLM provider, and Brevo (email) — is available on request and forms part of your services agreement.

Confidentiality

Each of us will keep the other's non-public information confidential and use it only to perform this agreement. We will not name you as a customer without your written consent.

Cancellation and what happens to your data

You may cancel your subscription with 30 days notice, effective at the end of the notice period. We may cancel with the same notice, or immediately for a material breach that is not fixed within 14 days of notice. After cancellation your configuration and data stay available for export for 30 days, and are then deleted within 90 days, except where we must keep records for accounting or legal reasons. Cancellation does not entitle you to a copy of the engine.

Refunds

Refunds are governed by our Refund Policy, which forms part of these terms.

Liability

Neither of us is liable for indirect or consequential loss, loss of profit, or loss of data that could have been prevented by your own backups. Our total liability under this agreement is limited to the fees you paid in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot be excluded by law, including for fraud or death or personal injury caused by negligence.

Changes to these terms

We may update these terms. If a change materially affects you we will tell you by email at least 30 days before it takes effect; continuing to use the service after that date means you accept the change.

Governing law

These terms, and any dispute arising from them, are governed by the laws of Georgia. Any dispute that cannot be resolved informally will be brought exclusively in the courts of Tbilisi, Georgia.
